Company History

Built on Experience.

Driven by Innovation.

Founded in 1998, InCorp was built to manage complex business entities with precision, compliance, and nationwide expertise — helping shape the modern registered agent industry along the way.

Our Beginning

Built for a Single Purpose

InCorp wasn't built to be a registered agent company. In January 1998, we were founded for a single purpose: to manage the entities of a private investment bank engaged in mergers and acquisitions of publicly-traded companies. That meant forming, dissolving, amending, and qualifying entities while tracking compliance deadlines across dozens of states at once. It was detail-intensive, deadline-driven work that sharpened us. By the time we opened to the public in June 2001, we'd spent three years operating at a level of rigor most of the industry was just reaching for, and had built in-house the full stack a sophisticated client needs.

In 2003, we extended coverage to all 50 states, becoming a true national provider. Over the following years we acquired National Business Incorporators and several trusted regional firms.

Innovation & Technology

Pioneering the Industry

In the early 2000s, business compliance was largely a mail-and-fax business. We thought it should be more. Working closely with state governments, we were among the first to offer real-time online access to filed documents and service of process, a customizable compliance calendar, and a true online client portal. All of these are now industry standard, and none were standard when we introduced them.

Our proprietary EntityWatch® technology goes further, monitoring entity status across state databases and flagging changes that could signal anything from a missed filing to corporate identity theft. We also run e-SecretaryOfState.com, a free public directory we've maintained for over two decades with no signup and no paywall.

InCorp Today

A National Leader in Business Compliance

That work has been recognized. Forbes Advisor ranked InCorp #1 in its 2025 review of Best Registered Agent Services, and we've continuously maintained an A+ BBB rating. Industry observers consistently include us among the "Big Four" national firms.

Today, InCorp serves 300,000+ entities across every U.S. jurisdiction, from solo entrepreneurs to publicly-traded enterprises and large law and accounting firms. We handle the full lifecycle of an entity, including formation, registered agent representation, foreign qualifications, annual reports, amendments, dissolutions, and certified copies, all visible in one place through our client portal, with free unlimited access to filed documents and service of process.

Leading the Next Chapter

The shift from paper to digital that we helped lead is now being followed by a shift from digital to intelligent, and we're investing heavily in AI and automation to lead this chapter the same way we led the last. Our goal is unchanged: let our clients spend less time chasing paperwork and more time running their businesses.
